WESTWOOD NEIGHBORHOOD ASSOCIATION BY-LAWS
ARTICLE I
NAME
The name of the organization shall be “Westwood Neighborhood Association”.
The boundaries are Glen Ave., Westbrook, Clarewood, Bel Aire and Dawn Drive.
ARTICLE II
PURPOSE
The Association was begun September 2006 and formulated in 2007. The purpose of the Association shall be to build and maintain a friendly, safe and vibrant neighborhood. It shall also provide information to residents and property owners, including projects, events, city announcements and maintaining contact with our city officials to enhance the neighborhood. Member meetings will be held four times a year with the election of officers at the last meeting of the calendar year. Any special meetings will be announced through flyers, email, mail or posted on a website.
ARTICLE III
DUES
There shall be a membership fee of $10.00 per year per address.
Each membership allows for two adult votes. Dues paying members are allowed to vote at the regular election in the fall and any issues requiring a vote. All paid members must be in attendance to vote. There will be no absentee voting.
ARTICLE IV
OFFICERS AND REPRESENTATIVES
The Association Board shall oversee the activities of the Association. The Board shall consist of the following officers: President, Vice-President, Secretary, Treasurer, and Communications.
The term of office shall be for 1 (year). Officers will be nominated at the meeting before elections in the fall. The election of officers will be held at a special meeting in the fall. Those persons elected shall take office in January.
Duties and responsibilities of the officers:

Treasurer/Secretary
Maintain an account at a local financial institution for any and all Association funds. He/she shall make written report of the Association’s finances at all meetings, keep a written record of all receipts and disbursements and pay all bills owed by the Association. The Treasurer and at least one other member of the Board shall sign any checks issued by the Association. A written or oral report shall be given to the Secretary at each meeting.
Secretary/Treasurer
The Secretary shall maintain written records of the meetings and Association meetings (not including committee meetings) in the form of minutes. He/she shall provide a written copy of said minutes at each meeting.
Communications
Will be responsible for creating and printing all documents of the Association including, but not limited to the following:
Block Captains:
Block Captains shall serve as a liaison between officers and membership of the Association of their designated area. The duties of the Block Captains shall include, but not limited to the following:
ARTICLE V
COMMITTEES
Standing Committees: President shall circulate sign-up sheets for volunteers to Standing Committees as needed. The President shall appoint the Chairman of the standing committee as needed.

CHANGE OF THE BY-LAWS
The by-laws shall only be changed by the following means:
The President shall appoint a Committee of no less than 3 (three) members to review the by-laws no less than every 2 (two) years. The Committee will recommend proposed changes to the members of the Association 2 (two) months prior to voting on the change. Notice of the proposed changes shall be made with the monthly meetings notice 2 (two) months prior as well. The proposed change shall be read aloud and voted on by the Membership. A two-thirds majority of those present shall be required to make the change effective. Individuals proposing a change shall announce the proposal at an Association meeting and provide the Secretary with a written copy of the proposal 2 (two) months prior to the voting
ARTICLE VII
CHARGES
Charges may be brought against an officer of the Association Board for the following reasons:
Charges shall be in writing and shall be signed by at least 10 members of the Association. The Charges shall be presented to the President who shall appoint a committee to investigate and report back to the Association Members regarding the charges. If the charges are brought against the President, the Vice-President shall appoint the Committee. The Committee shall recommend dismissing the charges or accepting them and if accepted an appropriate consequence will be given. Members of the Association shall then vote on whether to accept the Committee’s recommendations.

- Enforce the by-laws of the Westwood Neighborhood Association.
- Discharge any other duties which ordinarily pertain to the office such as may prescribed by the by-laws and as the Association membership may from time to time direct.
Vice-President/Co-President
- Serve as President in the President’s absence.
- Serve as ex-officio non-voting member of all committees of the Association.
- Perform any other duties that may be assigned by the President.
Treasurer/Secretary

- Disseminate information regarding current Association’s meetings.
- Welcome new residents to the area and inform them of the purpose of the Association.
- Hold Block Captain meetings and convey members’ comments, suggestions and criticisms regarding the Association.
ARTICLE V

- Unlawful behavior, including but not limited to misappropriation of the funds or EEO violations in conjunction with Association business.
- Causing public disgrace or embarrassment to the Association.
- Intentionally violating the Association’s By-Laws.

The Charges shall be presented to the President who shall appoint a committee to investigate and report back to the Association Members regarding the charges. If the charges are brought against the President, the Vice-President shall appoint the Committee.
